Terms of Service

1. Acceptance of Terms

By installing, accessing, or using OmniStudent Suite (the “Service”), including the Chrome extension, desktop application, and associated website, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

OmniStudent Suite is an AI-powered academic productivity tool. You authenticate with your own GitHub Copilot account and use your own API access. OmniStudent acts as a client interface that routes requests directly to GitHub's Copilot API endpoints using your credentials. We do not provide, resell, or proxy AI model access.

The Service includes:

• A Chrome extension for AI-assisted writing, Canvas/Blackboard integration, and academic workflows
• A desktop application with local document processing (PDF RAG) and a local vector database
• A web-based landing page and account management

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

4. Account & Authentication

4.1 GitHub Account Requirement

The Service requires a valid GitHub account with Copilot access. You are responsible for maintaining the security of your GitHub account and ensuring your Copilot subscription is active. You must comply with GitHub's Terms of Service and Copilot Terms.

4.2 Token Responsibility

Your GitHub OAuth tokens are stored exclusively on your device. You are solely responsible for the security of your device, all API calls made through OmniStudent, and any usage charges incurred on your GitHub Copilot account.

5. Subscription & Payment

5.1 Free Tier

OmniStudent offers a free tier with 25 messages per day, routed to lightweight models. No payment information is required.

5.2 Pro Tier ($10/month)

The Pro tier unlocks unlimited messages and access to advanced AI models (Claude Opus, Gemini Pro, etc.) through your own GitHub Copilot token. Billed monthly at $10.00 USD via Paddle.

• Billing Cycle: Renews automatically on the same date each month.
• Payments: Processed by Paddle.com (our Merchant of Record). We do not store your payment details.
• Cancellation: Cancel at any time. Access continues until the end of the current billing period. See our Refund Policy for details.
• Failed Payments: 7-day grace period before downgrade to free tier.

5.3 What Pro Unlocks

Pro is a feature gate, not an API provision. It unlocks routing to higher-tier models within OmniStudent. The actual AI inference uses GitHub Copilot under GitHub's terms and rate limits.

6. Acceptable Use

You agree not to:

1. Reverse-engineer, decompile, or disassemble any part of the Service (except where permitted by law).
2. Redistribute, sublicense, or resell the Service.
3. Circumvent the subscription gate, HMAC authentication, or any security measure.
4. Use the Service to violate your university's academic integrity policies.
5. Automate or script mass interactions with the Service.
6. Generate harmful, illegal, or abusive content.
7. Impersonate another user or misrepresent your identity.
8. Share or transfer your Pro subscription access to another person.

7. Academic Integrity Disclaimer

OmniStudent is a study and productivity aid, NOT a tool for academic dishonesty.

• AI-generated content should be used for learning, brainstorming, drafting, and understanding concepts.
• You are solely responsible for compliance with your institution's academic integrity policies.
• We strongly recommend disclosing AI assistance where required.
• OmniStudent is not responsible for any academic penalties resulting from misuse.

8. Intellectual Property

OmniStudent Suite is the intellectual property of OmniStudent, licensed not sold. You retain full ownership of all content you create, generate, or process. AI-generated content via Copilot is subject to GitHub's terms.

9. Disclaimers & Limitations

The Service is provided “as is” and “as available” without warranties of any kind. We do not guarantee the accuracy of AI-generated content. Always verify AI output before submitting for academic or professional purposes.

Our total liability for any claim shall not exceed the amount you paid in the 12 months preceding the claim, or $50.00 USD, whichever is greater.

10. Termination

You may stop using the Service at any time by uninstalling the extension/desktop app and canceling your subscription. We reserve the right to suspend or terminate access for Terms violations, subscription abuse, or harmful conduct.

11. Modifications

We may modify these Terms at any time. Material changes will be communicated at least 14 days before they take effect. Continued use constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of California. Disputes shall be resolved through binding arbitration. You agree to resolve disputes individually.
